Responsible for the legal function and Company Secretarial matters in Pakistan

Main responsibility: safeguard the company from legal risks.

Responsible for enhancing compliance and awareness of legal risks within FC Engro and ensuring an efficient way of working of the legal function in the company.

Aligning the priorities of the function with FC Engro’s strategy and supporting the opportunities for organizational growth.

Wat we vragen

  • Graduate of a Law University with very good academic record. A master’s degree is a plus 
  • Experienced 12+ years in international commercial legal environment  and with compliance management, preferably in a large multinational
  • Demonstrated ability to create legal defensive or proactive strategies
  • Understanding principles of a complex organization with cooperative and business structures
  • Fluent in spoken and written English

Vacaturetekst

General & Corporate:

  • maintain in depth current understanding of the company’s products and activities to be able to determine accurately and timely the relevant laws and regulations governing them;
  • legal budget tracking & benchmarking; and timely reporting to  legal of legal & compliance matters, material claims, KPIs (Balanced Business Plan and projects), budget etc.
  • Accountable for the implementation and, where necessary, localization of the global legal strategy, global processes and policies in Pakistan;
  • Pro-actively and re-actively advise, partner and support company management and local management in the region on legal risks;
  • Responsible for implementation of global legal policies within FC Engro.

 

Commercial legal & litigation matters:

  • Accountable for the legal aspects of contracts and other commercial matters in Pakistan (incl. approval of deviations from sales policy, negotiating, drafting, recording) within global guidelines. Review, draft and revise contracts/agreements, and any other documents to support commercial transactions
  • Decide on optimal legal position taking into account legal protection and commercial interests impacting the risk profile of FC Hellas within global guidelines;
  • Safeguard the company from legal risks through legal advice in commercial matters and litigation in line with local legislation
  • improve local processes to improve legal risk management in Pakistan.
  • Lead claims for FC Engro in line with global guidelines. Coordinate and brief/discuss with the panel of lawyers elected by FC Engro for legal cases and negotiate their fee structure.

 

Compliance matters:

  • leadership of OpCo-wide processes to ensure Good Business Conduct.
  • monitor changes in relevant laws and regulations and trends in industry standards and evaluate compliance implications of these changes, inform Corporate legal thereof;
  • identify key compliance weaknesses, develop recommendations for addressing these and improving operations, liaise with Corporate legal thereof;
  • develop and foster commitment of company management and employees to the global compliance program.
  • develop training material to enhance awareness of legal and compliance risks
  • Topics falling under legal accountability are Competition law, data protection law. Honest business conduct and trade sanctions law

 

 

 

HR:

  • Accountable for the legal HR matters (labour agreement, additional acts, notifications, mandate agreements, etc.)
  • Lead legal side of negotiations
